REPORT

Second Report of the Council on governance (external membership of the Council)

The COUNCIL beg leave to report to the University as follows.

1. The Council indicated in their First Report dated 12 May 2003 (Reporter, 2002-03, p. 920) and in their Notice in reply to the Discussion (Reporter, 2002-03, p. 1262) that they expected to propose an Ordinance for the composition and functions of the Nominating Committee for external members of the University Council.

2. In the earlier Report the Council suggested that the Ordinance should provide for public advertisement of vacancies, for consideration of the resulting names by a Nominating Committee, and for approval of the recommended names by Grace. The Council suggested that the Nominating Committee should be constituted along the following lines:

(i) The Chancellor, failing whom the High Steward, failing whom the Deputy High Steward, failing whom a deputy appointed by the Chancellor, in the Chair;
(ii) The Vice-Chancellor;
(iii) Two members of the Council in classes (a), (b), or (c);
(iv) Four other persons appointed from among the members of the Nomination Board for the offices of Chancellor and High Steward, not being members of the Council and at least two of whom shall not be members of the Regent House.

The Registrary would act as Secretary of the Committee.

3. The recommendations of the First Report have now been approved by Grace (Grace 2 of 6 August 2003) and the amending Statute has been submitted to the Privy Council. The Statute provides that members in class (e) shall be appointed by Grace of the Regent House on the nomination of the Council; the arrangements for nomination to be prescribed by Ordinance. It is therefore appropriate for the proposed Ordinance for the Nominating Committee now to be put forward.

4. The Council therefore recommend:

That, subject to the approval of Her Majesty in Council of the amendments to Statute A, IV, 2 and 4 approved by Grace 2 of 6 August 2003, the following regulations be approved with effect from 1 April 2004 or such later date as shall be approved by Grace:

Nomination of members of the Council in class (E) (external members)

1. The Council shall discharge its duty of making nominations for appointment by Grace of members of the Council in class (e) on the recommendation of a Nominating Committee which shall consist of:

(a) the Chancellor, failing whom the High Steward, failing whom the Deputy High Steward, failing whom a deputy appointed by the Chancellor, who shall be in the Chair;
(b) the Vice-Chancellor;
(c) two members of the Council in classes (a), (b), or (c) appointed by the Council;
(d) four other persons appointed by the Council from among the members of the Nomination Board for the offices of Chancellor and High Steward, not being members of Council, and at least two of whom shall not be members of the Regent House.

Members of the Committee in classes (c) and (d) shall be appointed in the Michaelmas Term to serve for two years from 1 January following their appointment. If a member in class (c) or class (d) ceases to be a member of the Council or the Nomination Board respectively, he or she shall thereupon cease to be a member of the Nominating Committee.

2. The Registrary shall be Secretary of the Nominating Committee.

3. The Nominating Committee shall make arrangements for:

(a) public advertisement of the intention to make a nomination;
(b) consultation with the Audit Committee about the requirements for the Chairmanship of that committee, having regard to the need for compliance with any relevant requirements of the Financial Memorandum with the Higher Education Funding Council for England as to the Chairmanship of the Audit Committee.

4. The Nominating Committee shall submit a recommended name to the Council for each vacancy, together with a statement by the person so recommended that he or she consents to nomination and consents to serve, if appointed by Grace, for the period and in the role concerned.
